Memorandum of Understanding
This Memorandum of Understanding (MOU) is entered into by and between Picaboo Corporation and your Organization. Picaboo Corporation is a web-based image publishing and printing service based in Hanover, New Hampshire. Picaboo customers can upload their digital photos through the company’s in-browser application to create a variety of personalized photo products.

Purpose
The purpose of this MOU is to establish an official partnership related to the Picaboo Cards For Causes Program. The program is aimed at achieving two important goals: 1) providing nonprofit organizations with a fundraising opportunity capable of raising thousands of dollars, and 2) providing increased exposure for nonprofit organizations among communities they currently reach as well communities they might not otherwise reach.

Roles and Responsibilities
The roles and responsibilities each organization will fulfill to ensure success of the Cards For Causes Program are briefly described below.

Picaboo Corporation agrees to:

• Provide a 5”x7” flat card design template
• Provide feedback and assist the nonprofit organization in finalizing the back of their 5”x7” flat card design
• Work with the nonprofit organization to select an appropriate design for the front of their 5”x7” flat card which will be subsequently customized by the organization’s supporters.
• Implement the organization’s card design within Picaboo’s online card editing platform
• Provide the organization with a URL hyperlink that will navigate the organization’s supporters directly to its holiday card and/or a landing page showing all of Picaboo’s Cards For Causes cards.
• Provide a fifty percent (50%) off coupon code your supporter’s can elect to use to make their cards purchases
• Promote the organization’s holiday card among Picaboo’s customer base via email marketing
• Process and fulfill the card orders placed by the organization’s supporters who will create accounts, customize their card and checkout using the normal workflows available at picaboo.com and picaboo.com/web
• Provide 50% of the net product revenue generated by the sale of the organization’s holiday card to the organization within 60 days of the conclusion of the promotion

Your Organization agrees to:

• Provide a high resolution logo, mission statement and URL for the back of the organization’s 5”x7” flat card
• Work with Picaboo to select an appropriate design for the front of their 5”x7” flat card which will be subsequently customized by the organization’s supporters.
• Promote the organization’s holiday card and the partnership with Picaboo among the organization’s community of supporters using email, social media, website and other online and traditional advertising strategies
• Provide instructions to the organizations community of supporters regarding how to find and purchase the organizations holiday card via the URL hyperlink supplied by Picaboo
• Provide feedback to Picaboo following the conclusion of the campaign

Revenue Sharing
One goal of Picaboo’s Cards For Causes Program is to provide a unique fundraising opportunity for nonprofit partners. Your Organization will receive fifty percent (50%) of the net product revenue generated from the sale of the organization’s holiday card. Picaboo will issue a check to your organization within 60 days of the conclusion of the campaign based on the net product revenue generated by the organization’s holiday card. Picaboo has made no guarantees regarding the success of this fundraising campaign. The amount of funds raised will ultimately depend on how effectively the nonprofit is able to promote its holiday card and its supporter’s willingness to participate and purchase the card.

Confidentiality

All parties to the memorandum of understanding agree to adhere to following confidentiality expectations as outlined below.

1. The nonprofit organization will not disclose its participation in the Picaboo Cards For Causes Program with any other custom photo printing company.
2. The nonprofit organization will not disclose any details regarding the Picaboo Cards For Causes Program with any other custom photo printing company.
3. Picaboo will not disclose the amount of money raised by the nonprofit through the sale of its holiday card.

This Memorandum of Understanding is the complete agreement between Picaboo Corporation and your Organization, may be terminated at any time and may be amended only by written agreement signed by each of the parties involved.
